SF Bay IRC Owners Association (hereinafter referred to as Association).
Objectives:
To organize, promote, and support big boat buoy and ocean racing under the IRC measurement rule in Northern California, and to encourage high-quality racing by supporting race organizers with a track record of providing excellent race management.
Organization:
The Association is open to owners or charterers of sailboats who race or intend to race under the IRC rule. The Association is controlled by a Governing Board, initially appointed and subsequently elected each year by voting members of the Association. The Governing Board shall make scheduling and other decisions on behalf of the Membership. The Governing Board shall consist of at least five, but not more than 11 members, including Technical Advisors who serve in a non-voting capacity.
Voting:
The charter Governing Board shall initially approve this Constitution. Changes shall be approved by a simple majority of ballots and proxies returned (if no meeting) or by two-thirds vote, including proxies, at a meeting of at least 20% of the total voting members. Voting members must be owners or charterers of boats with current IRC certificates. While partners may be individual members of the Association, only one vote may be counted per represented boat. There shall be an annual meeting held each year. The Governing Board will determine the time and location of the meeting.
IRC Series Events:
The Association shall define a series of races to be included in an annual race schedule. This schedule will be posted on www.sfbay-irc.org, the Association’s web site. The overall winner of the series will be recognized as the SF Bay IRC Series Champion. The Governing Board will determine the schedule and the scoring method to be used in deciding the results.
To be eligible to be scored in the IRC Series, the skipper of a boat must be a member in good standing of the Association, hold a valid ENDORSED IRC certificate, and comply with all IRC rules. Those competing in the IRC Series shall have their dues paid in advance and must hold a valid measurement certificate prior to racing.
Fees and Eligibility:
Annual dues for membership in the Association shall be $100 per calendar year.
The Association, through its Governing Board, reserves the right to refuse membership or suspend or terminate the membership of any individual who commits a gross breach of a rule, good manners or sportsmanship, or who may have brought the class or sport into disrepute. Such action can be taken only with the approval of two-thirds of the Governing Board.
